Terms of Service

Effective Date: November 27, 2025

Welcome to Seven Eleven Labs. By accessing our website, utilizing our APIs, or contracting our software development services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and Seven Eleven Labs ("Agency").

Please read these terms carefully before initiating any project.

Scope of Engineering

Our services are defined by individual Statements of Work (SOW) or Project Proposals. These may include:

  • Full-Stack DevelopmentWeb & Mobile applications built to spec.
  • Infrastructure ArchitectureCloud setup, DevOps, and CI/CD pipelines.
  • ConsultancyCode audits, strategy, and technical feasibility.
  • MaintenanceOngoing support and server monitoring.

Intellectual Property (IP)

Upon full payment of all fees, IP rights are assigned as follows:

Client Rights

You own all specific deliverables, including source code, design assets, and compiled binaries created specifically for your project.

Agency Rights

We retain rights to our background technology, pre-existing libraries, and general knowledge used to build the solution.

Payment Protocols

  • Milestones: Payments are typically structured around development milestones (e.g., 50% upfront, 50% upon delivery).
  • Late Fees: Invoices overdue by more than 14 days may incur a late fee of 5% per month.
  • Taxes: Prices exclude applicable taxes (GST/HST/VAT), which will be added to the invoice.

Limitation of Liability

To the maximum extent permitted by law, Seven Eleven Labs shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from the use of our software. Our total liability is limited to the amount paid by the Client in the 6 months preceding the claim.

Termination

Either party may terminate a project with 14 days written notice. In the event of termination, the Client shall pay for all work completed up to the termination date. Code release is contingent upon final settlement.
